DWNLD.net ("DWNLD", "Site", "we", "us" or "our") provides URL shortening, custom-branded link, and link management and analytics products and services to its users (collectively, the “DWNLD Services”).

The following terms of service (these "Terms of Service"), constitute a legally binding agreement Internet User (notwithstanding whether the user is a natural person or an authorized representative or employee of a legal entity) govern accessing and using of the DWNLD Service, including any content, functionality and services offered on or through https://dwnld.net

Please read the Terms of Service carefully before you start to use the DWNLD Service. By using the DWNLD Service, opening an account or by clicking to accept and agree to the Terms of Service when this option is made available to you, you accept and agree to be bound and abide by these Terms of Service and our Privacy Policy incorporated herein by reference. For the purposes of these Terms of Service the following definitions shall have the following meanings:

«Personal Account» means the personalized module of the DWNLD Service, closed for public access and available via URL https://my.dwnld.net/. Personal Account is accessed by entering authentication details on the DWNLD Service login page: login (email) and password.

General Rules

DWNLD Service is online service create short and safe links to keep your site or app protected. DWNLD Service helps Webmasters automate routine work with links, provide powerful API for Developers. Includes flexible filters, real-time monitors, triggers and many more.

DWNLD Service may NOT be used creating shortened URLs that:

  • Are used for unsolicited advertising (spam) including email, forum posts, SMS messages and spam posts/messaging on social networks such as Facebook or Twitter;
  • Link to malicious content (phishing, viruses, trojans, adware, any other malware);
  • Link to any form of child pornography;
  • Link to any materials illegal drugs and/or actions relating to any terrorist activities;
  • Link to any materials that promote illegal actions against any governments, organizations or law enforcement agencies;
  • Link to any materials that intentionally or unintentionally violate any applicable local, state, national or international law;
  • Link to other URL shortening or redirection sites or scripts (these "chains" of links are often used to hide malicious usage).

You acknowledge that DWNLD reserves the right, but have no obligation, pre-screen Links. DWNLD and its designers shall have the right to remove any Links or Personal Accounts that violates this Terms of Service or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Links or Personal Accounts.

Eligibility

This Service is offered and available to users who are 18 years of age or older. If you are under 18 you may not use this Site.

To become a Registered User, you must accept all of the terms and conditions in, incorporated by reference in, and linked to, these Terms of Service. By becoming a Registered User, you agree to abide by the Terms of Service and the processes, procedures, and guidelines described throughout the Site.

We may, in our sole discretion, refuse to offer the Services to any person or entity and change the eligibility criteria at any time.

Registration

To become a Registered User and to access Services you must register for a Personal Account. You agree to provide true, accurate and complete information as prompted by the registration form and all forms you access on the Site, and to update this information to maintain its truthfulness, accuracy and completeness.

If you provide any information that is untrue, inaccurate, not current or incomplete, or DWNLD has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, DWNLD has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof).

Personal Account

Once you have registered with the Site as a Registered User, the Site will create your Account with DWNLD Service and associate it with an email.

You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account.

You authorize DWNLD Service to assume that any person using the Site with your username and password is you or is authorized to act for you.

You agree to immediately notify DWNLD Service of any unauthorized use of your password or account or any other breach of security.

All services of the service are available for free to Registered Users. To increase the limits and quality of service and use additional features, functionality and quality of the service, each user has to purchase a Paid Personal Account. Paid Registered User will pay DWNLD invoices on the payment interval selected. If not otherwise specified, payments will be due immediately. Paid Registered User authorizes DWNLD to charge for all applicable Fees using Paid Registered User’s selected payment method.

DWNLD reserves the right to downgrade, suspend or terminate the Services if invoices are past due.

Paid Registered Users are responsible for payment and reporting of any taxes. You agree that you are responsible for the collection and/or payment of all Taxes which you may be liable for in any jurisdiction arising from your use DWNLD Service.

DWNLD Service is not responsible for collecting, reporting, paying, or remitting to you any such Taxes. «Taxes» means any applicable duties, sales taxes, GST, VAT or other taxes which may be levied in respect of a transaction contemplated by this Terms of Service.

Privacy And Confidentiality

The information required to be provided in connection with Your use of the DWNLD Service may include certain personal data. Collection, use and processing of Your personal data, as well as the applicable cookie file policy, are governed by Privacy Policy, available here: https://dwnld.net/privacy

Use of the DWNLD Service means that you give a permission and consent to monitor and verify any or all of your actions on the Service.

DWNLD reserves the right, but have no obligation,

  • to check your Personal Account;
  • to make account recording and verify any or all of your actions on the Service; for purposes of confirming legal use of the Service and identifying instances of restricted use and potential violations of these Terms of Service and applicable law.

Restrictions

Users have no right, and specifically agree not to do the following with respect to the DWNLD Service or any part, component or extension of the Site:

  • copy, transfer, adapt, modify, distribute or reproduce it, in any manner;
  • reverse assemble, decompile, reverse engineer or otherwise attempt to derive its source code, underlying ideas, algorithms, structure or organization;
  • modify or create derivative works;
  • use the Service in any manner that could damage, disable, overburden or impair the Site, or interfere with any other users’ enjoyment of the Service;
  • upload, transmit, or distribute any computer viruses, worms, or any software intended to damage or alter a computer system or data;
  • send unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of duplicative or unsolicited messages;
  • harvest, collect, gather or assemble information or data regarding other users, including e-mail addresses, without their consent;
  • impersonate any person or entity or falsify or misrepresent yourself or your affiliation with any person or entity.

Users also agree not to permit or authorize anyone else to do any of the foregoing.

DWNLD reserves the right, at any time, to modify, suspend, or discontinue the DWNLD Services or any part thereof with or without notice. You agree that DWNLD will not be liable to you or to any third party for any modification, suspension, or discontinuance of the DWNLD Services or any part thereof. You acknowledge and agree that DWNLD will have no obligation to provide you with any support or maintenance in connection with the DWNLD Services.

Reporting and correcting violations

If you become aware of any violation of these Terms of Service, you must immediately report it to Customer Service. You agree to assist us with any investigation we undertake and to take any remedial steps we require in order to correct a violation of these Terms of Service.

Termination And Suspension

Either party may terminate the contractual agreement represented by these Terms of Service at any time upon notice to the other party. In such event, Your Personal Account is automatically terminated.

Without limiting our other remedies, we may issue a warning, or temporarily suspend, indefinitely suspend or terminate your Personal Account, and refuse to provide any or all services to you if:

  • you breach the letter or spirit of any terms and conditions of these Terms of Service or the linked policies and information incorporated herein by reference, including our written policies and procedures posted on the Site;
  • we are unable to verify or authenticate any information you provide to us; or (3) we believe in our sole discretion that your actions may cause legal liability for you, our Registered Users or are contrary to the interests of the Website. Once indefinitely suspended or terminated, you must not continue to use the Site under the same Personal Account, a different Personal Account, or register under a new Personal Account.

In addition, violations of these Terms of Service may be prosecuted to the fullest extent of the law and may result in additional penalties and sanctions.

When your Personal Account is terminated for any reason, you may no longer have access to data and material you keep on the DWNLD Service. The material may be deleted along with all your previous posts and proposals.

Intellectual property rights

You agree and acknowledge that DWNLD is the sole and exclusive owner of all right, title and interest in and to the DWNLD Services and all related documentation, source code, tools, scripts, processes, techniques, methodologies, inventions, know-how, concepts, formatting, arrangements, visual attributes, ideas, database rights, copyrights, patents, trade secrets, and other intellectual property, and all derivatives, enhancements, modifications and improvements thereof.

Nothing on this website should be construed as granting any license or right to use any of the Marks displayed on this website. Any unauthorized use of the Marks or any other Content is strictly prohibited.

DWNLD Service creates short links, which redirects directly to User's links. Also the Site contains hyperlinks to third party web sites. Most of the linked sites are not under our control and we are not responsible for, and make no representations or warranties with respect to, the contents or privacy policies or practices of any linked sites or any link contained in a linked site. The inclusion of a linked site is for our users' convenience only and is not intended as and should not be construed as an endorsement or recommendation by us of the linked site or its content.

Warranty disclaimer

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOU ACCESS AND USE THE DWNLD SERVICE AT YOUR SOLE DISCRETION AND YOUR SOLE RISK. IF YOU HAVE A DISPUTE WITH ANOTHER REGISTERED USER AND/OR THIRD PARTY, YOU RELEASE DWNLD FROM CLAIMS, DEMANDS AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH DISPUTE.

Indemnity

You agree to defend, indemnify and hold the DWNLD and against, and reimburse to the DWNLD or any such party in full any costs or expenses arising or resulting from, any and all third party claims and all liabilities, assessments, actions, causes of action (regardless of the form), losses, damages, awards, judgments, fines, costs, expenses, and attorneys’ fees resulting from or arising out of:

  • any breach by You of these Terms of Service;
  • Your infringement or violation of any intellectual property, other rights or privacy of a third party, including but not limited to other users of the DWNLD Service;
  • misuse of the DWNLD Service by a third party where such misuse was made possible due to Your failure to take reasonable measures to protect Your username and password against misuse.

DWNLD reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of the Operator. Operator will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

This provision shall remain in full force and effect notwithstanding any termination of Your use of the DWNLD Service.

Modification and Waiver

No modification or amendment to the Terms of Service will be binding upon us unless in a by a duly posted on the DWNLD Service. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. We do not guarantee we will take action against all breaches of this Terms of Service.

Severability

If any part of these Terms of Service is held to be unenforceable, the unenforceable part will be given effect to the greatest extent possible and the remainder will remain in full force and effect.

Force Majeure

The Operator will not be responsible for the failure to perform or any delay in performance of any obligation hereunder for a reasonable period due to labor disturbances, accidents, fires, floods, telecommunications or Internet failures, strikes, wars, riots, rebellions, blockades, acts of government, governmental requirements and regulations or restrictions imposed by law or any other similar conditions beyond the reasonable control.

Updates to Terms of Service

DWNLD reserves the right, at its sole discretion, to change or modify portions of these Terms of Service at any time. DWNLD will post the changes to these Terms of Service on the DWNLD Service and will indicate at the bottom of this page the date these terms were last revised.

The DWNLD may notify you or not, in terms of the fact that there is no obligation of any changes made to these Terms of Service by sending an email message to the email address listed in Your Personal Account or by posting the notice on the DWNLD Service. It is your responsibility to check the Terms of Service periodically for changes. Your continued use of the DWNLD Service after the date any such changes become effective constitutes your acceptance of the new or revised Terms of Service.
